依照國家有關法律法規，簽約雙方就委托代理出口業務有關事項協商一致，訂立本合同：
一. 委托代理出口商品名稱：
出口口岸：深圳;總金額：萬美元，在20xx 年年底前履行完畢。
具體型號、規格、數量、金額在每批出口前另行確認。
二. 雙方權利義務：
(一). 代理方：
1. 代理委托方辦理有關貨物出口報關、報檢、托運手續及結匯、退稅事宜,但因出口合同及其附件的瑕疵所產生的一切責任由委托方自行承擔。
2. 因委托方原因致使出口合同不能履行、不能完全履行或遲延履行的，代理方有權解除本代理合同，委托方應承擔由此產生的一切費用和后果。
3. 因外商原因致使合同不能履行、不能完全履行或延遲履行，代理方應及時通知委托方采取補救措施。如委托方在訴訟時效內書面要求對外索賠的，代理方應根據其出口合同，積極協助委托方對外索賠，委托方承擔由此產生的一切費用和后果。并應在索賠前，依據代理方書面通知將預付費用劃至代理方帳戶。若委托方未支付有關索賠費用，而由代理方先行支付的，則委托方喪失享有索賠產生的權利，但不免除因索賠而產生的義務。上述義務包括但不限于承擔代理方先行代墊的律師費、訴訟費、仲裁費、差旅費、通訊費等。反之，如外商索賠，由代理方應訴/應裁，但委托方應無條件協助并承擔應訴/應裁的一切費用和后果。
(二). 委托方：
1. 應提供以下有效證件復印件：
① 企業法人營業執照(含非法人營業執照);
② 組織機構代碼證;
③ 稅務登記證(國稅);
④ 增值稅一般納稅人資格證書或申請認定表(正在申請一般納稅人的企業);
⑤ 如是外商投資企業或中外合資企業，還需要提供：港澳臺僑企業批準證書。
2. 保證所委托出口的貨物符合出、進口國的國家政策法律規定，并保證委托出口的貨物不侵犯他人知識產權。
3. 負責組織出口貨源，并根據出口合同的規定按時將委托出口貨物運至出運口岸及承擔運費，并保證所委托的實際貨物與報關品名、規格、數量、質量、包裝等相符。若委托方違反本條規定，則應承擔由此產生的對外及對代理方的賠償責任。
4. 協助代理方辦理報關、報檢、制單、結匯等具體業務，保證從代理方處取得的所有單證的安全，不得挪作它用。
5. 代理方原則上不接受拼柜貨物。若確有必要，委托方應于貨物報關出口前一周書面通知代理方，由代理方決定是否接受。
6. 委托方應如實申報，不得虛報數量，高報價值。
7. 如委托方指定貨代以及需異地報關出口的貨物，委托方應通知代理方其貨代名稱、地址、聯系人、電話、傳真等詳細資料，并允許代理方與貨代直接聯系，在貨物正式報關出口前，由貨代將裝箱單、發票傳真給代理方確認。
8. 保證增值稅發票和專用繳款書真實、有效、合法。
9. 未經代理方同意，委托方不得擅自更改確認后的合同條款，不得對外商作出合同之外的承諾。
10.承擔因委托方原因致使本合同及與外商簽訂之合同不能履行的一切責任。
11.對外商資信負責，承擔因外商原因致使與外商簽訂之合同不能履行或與外商簽訂之合同已部份履行但無法收匯核銷的責任。前述外商違約導致本合同不能履行或不能完全履行，不影響本協議項下代理方收取代理費的權利。
12.保證在報關日后30日內將報關單、核銷單等退稅單據交還代理方，并保證報關單、核銷單的所有內容與相應的增值稅發票和專用繳款書內容一致。
13.因委托方的原因，導致增值稅發票和專用繳款書未能退稅時，代理方有權向委托方追索該部份退稅款。委托方應在收到代理方書面通知后3個工作日內將該部份退稅款，付到代理方指定的銀行帳戶上。
三. 費用與代理手續費結算：
1. 代理出口過程中所發生的一切費用,除退稅外均由委托方承擔，如因需要由代理方代為繳納的，委托方應在每筆費用實際發生前轉入代理方帳戶，代理方也可直接在貨款中扣除。本合同項下的出口費用包括：保險費、港口碼頭費、裝運港市內短途運雜費、倉儲費、出口檢驗費、檢疫費、報關費、國內銀行費用等。
2.a.代理方負責接收國外客戶t/t貨款，該貨款應于60天內匯到代理方指定的銀行帳戶)。在代理方收到委托方國外貨款，先按1美元：8.26人民幣元將貨款匯入同增值稅發票上相符的銀行帳戶，在核銷單、報關單退回后，并收到委托方提供的增值稅專用發票、稅收繳款書后 3個工作日內將外匯貨款按1美元：9.14人民幣元的比率，扣除已按1美元：8.26人民幣元支付的貨款，將剩余貨款按委托方的通知匯入同增值稅發票上相符的銀行帳戶，其余部分(包括不低于 13%的退稅款額)作為代理方的代理費用。
3.如出口合同外商付款期至時，代理方未實際全部收匯，代理方對委托方就該筆貨款保留追索權。如代理方在委托方開具增值稅發票和繳款書二個月后在國稅局依然查無增值稅發票和繳款書的相關信息，委托方有責任協助代理方向當地國稅局查詢。
四. 違約責任:
1. 在本合同項下，如一方違約，除依法依約應承擔違約責任及賠償責任及賠償守約方的實際損失外，還應承擔守約方為實現債權而支付的費用，該費用包括但不限于律師費用、訴訟費用、差旅費、通訊費。
2. 自違約方違反本合同約定及法定義務之日起,其于后支付的任何款項按以下順序清償：(1)守約方為實現權利支付的費用;(2)利息或違約金、損失賠償金;(3)貨款本金。
五.爭議解決方式：
1.本合同適用《中華人民共和國合同法》及我國對外貿易代理的有關規定。
2.委托代理過程中發生糾紛，由雙方協商解決，協商未果的，由合同簽訂地法院裁決。
六.其他：
1.上述結算價雙方將根據20xx年度實際退稅時間及市場行情協商調整。
2.委托方或委托方指定的工廠若需要代理方提供“產品購銷(買賣)合同”，該合同僅限于開具增值稅發票用，其內容若與本協議有矛盾，以本協議為準。
3.如中國人民銀行美元和人民幣的匯率發生變動，高于或低于1:8.26(不含本數)時,則代理方與委托方另行協商該代理合同中第三條第2點中結算比例,以保證代理方不發生代理業務虧損。

二、委托方應如實填寫委托單，如有必要，還應根據檢驗方的要求提供必要的單據及相關資料。
三、檢驗方按委托方在委托單上填明的檢驗要求進行檢驗，并出具檢驗報告。
四、委托方必須注明要求使用的檢驗方法。
五、檢驗方的檢驗時間根據檢驗內容而定，原則上以檢驗方公布的時間為準，特殊情況雙方協商確定，并在委托單上注明。
六、檢驗方檢驗收費按有關規定計價。對于批量樣品如需減免檢驗費用的，委托方應在委托時與檢驗方協商確定，并在委托單上“備注”欄內注明。要求加急服務的，需支付加急費。
七、檢驗方接受委托方自送樣品的檢驗，檢驗報告僅對樣品負責。
八、對于某些項目，檢驗方需要分包檢驗的，檢驗方應以書面或電子媒體形式通知委托方。除委托方或上級管理機構指定的分包方外，檢驗方為分包方的工作對委托方負責。
九、檢驗方在接受委托時，須詳細審核委托單內容。在確認委托方的委托及要求后，應填寫委托單同一頁上的領證憑條交付委托方，委托人憑此查詢及索取檢驗報告。
十、檢驗方的檢驗報告有固定的格式，并僅提供正本。如對檢驗報告有特殊要求，委托方應在委托單上“備注”欄內注明。
十一、檢驗報告通常采用中文書寫。如需采用其他語種，委托方應在委托單“備注”欄內注明，并用相應語種填寫有關內容。
十二、委托方如對檢驗結果有異議的，須在一個月內憑檢驗證書原件向檢驗方要求復檢，檢驗方應于十日內安排復檢。復檢結果維持原檢驗結果的，委托方須按規定向檢驗方支付復檢費。復檢結果確認原檢驗結果有誤的，檢驗方不再收取復檢費。委托方對復檢結果仍有異議，雙方協商不成時，應與檢驗方書面協議，委托仲裁機構仲裁。

should the seller fail to make delivery on time, the buyer shall agree topostpone the delivery on the conditon that the seller agrees of pay a penaltywhich shall be deducted by the paying bank at the time of payment. the rate ofpenalty is charged at 0.5% of the total value of the cargo whose delivery hasbeen delayed for every week, odddays less than a week should be counted as aweek. but the total amount of penalty shall not exceed 5% of the total value ofthe cargo involved in the late delivery. in case the seller fail ot makedelivery 10 weeks later than the time of shipment stipulated on the contract,the buyer shall havbe the right to cancel the contract a nd the seller shallstill pay the aforesaid penalty to the buer without delay.
