第六章董事會

第七章財務、會計

第九章違約責任

第十一章不可抗力情況的處理
第二十六條一方因不可抗力的原因不能履行合同時，應立即通知對方，并在15日內提供不可抗力的詳情及有關證明文件。
第十二章爭議的解決
第二十七條在本合同執行過程中出現的一切爭議，由雙方協商解決。經協商仍不能達成協議的，提交蘇州市仲裁委員會按其仲裁規則進行仲裁。仲裁費用由敗訴方承擔。
第十三章合同的生效及其他
第二十八條本合同在甲乙雙方簽字后生效。合同期滿后，經雙方同意，可以續簽。

提供需要的設備安裝、調試以及生產技術人員、生產和檢驗技術人員;
sending technical personnel for the installation and debugging of needed equipment and trial production and technicians for production and product examination;
培訓合營公司的經營管理人員以及技術人員和工人及其他人員。
training managerial and technical personnel，workers and other employees for joint venture;
如乙方同時又是技術轉讓方，則應負責合營公司在規定的期限內按設計能力穩定地生產合格產品;
where party b is transferor of technology，he shall assure joint turn out qualified products in accordance with the designed capacity within the period herein provided;
協助合營企業工作人員及其他相關人員辦理進人外國合營者所在國家或地區的簽證;

第七章 技術轉讓
chapter seven technology transfer
第十五條 甲、乙雙方同意，由合營公司與乙方(或第三者)簽訂技術轉讓協議，以取得為達到合同第四章規定的生產經營目的、規模所需的先進生產技術，包括產品設計、制造工藝、測試方法、材料配方、質量標準、培訓人員等(注：要在合同中具體寫明)。

第十六條 乙方對技術轉讓提供如下保證：(注：在乙方負責向合營公司轉讓技術的合營合同才有此條款)

b shall transfer all the technology to joint venture under the terms in this contract and in the agreement of assignment of technology，the technology transferred shall be the most advanced of the same category in party b’s portfolio，the type and function of the equipment shall be good and shall meet the demand of technological process and practical usage;
(3)乙方對技術轉讓協議中規定的各階段提供的技術和技術服務，應開列詳細清單作為該協議的附件，并保證實施;
for technology and technical service provided by party b in all stages according to the agreement of assignment of technology，party b shall make out detailed lists as appendices to the agreement to guarantee the enforcement of the agreement;
(4)圖紙、技術條件和其他詳細資料是所轉讓的技術的組成部分，保證如期提交;

第十七條 如乙方未按本合同及技術轉讓協議的規定提供設備和技術，或發現有欺騙或隱瞞之行為，乙方應負責賠償合營公司的直接損失。
party b fails to provide equipment or techniques under the terms and conditions herein or in the agreement of assignment of technology or is found fraudulent，party shall be liable for the direct losses of joint venture caused hereby.
第十八條 技術轉讓費采取提成方式支付。提成率為產品出廠凈銷售額的_________%。提成支付期限以本合同第十九條規定的技術轉讓協議期限為期限。

第九章董事會

第三十六條 籌建處具體負責審查工程設計，簽訂工程施工承包合同，組織生產設備、材料等物資的采購和驗收，制定工程施工總進度，編制用款計劃，掌握工程財務支付和工程決算，制定有關的管理辦法，做好工程施工過程中文件、圖紙、檔案、資料的保管和整理等工作。

第三十七條 甲乙雙方指派若干技術人員組成技術小組，在籌建處領導下，負責對設計、工程質量、設備材料和引進技術的審查、監督、檢驗、驗收和性能考核等工作。

第十三章 勞動管理
chapter thirteen labor management
第四十條 合營公司職工的招收、招聘、辭退、工資、勞動保險、生活福利和獎懲等事項，按照《中華人民共和國中外合資經營企業勞動管理規定》及其實施辦法，經董事會研究制定方案，由合營公司和合營公司的工會組織集體或個別的訂立勞動合同加以規定。

第十四章 稅務、財務、審計

第四十二條 合營公司按照中國的有關法律和條例規定繳各項稅金。

第四十三條 合營公司職工按照《中華人民共和國個人所得稅法》繳納個人所得稅。

第四十四條 合營公司按照《中華人民共和國中外合資經營企業法》的規定從公司贏利中提取儲備基金、企業發展基金及職工福利獎勵基金，每年提取的比例由董事會根據公司經營情況討論決定。

第四十五條 合營公司的會計年度從每年一月一日起至十二月三十一日止，一切記賬憑證、單據、報表、賬簿，用中文書寫(注：也可同時用甲乙雙方同意的一種外文書寫)。

第四十七條 每營業年度的頭三個月，由總經理組織編制上一年度的資產負債表、損益計算書和利潤分配方案，提交董事會會議審查。

第十五章 合營期限、解散與清算

第四十八條 本合營企業在下述情況下解散：

(2)合營期滿之前，出現下述任何一種情況或事件，經董事會決議，本合營企業也可解散：
to the expiration of this contract，in case any of the following situations or incidents occurs and upon the general resolution of the board of directors，joint venture may be dissolved:
a.合營企業遭受重大損失，無法繼續經營;
joint venture fails to maintain operation due to heavy losses;
b.任何一方違反經營合同規定，使本企業無法繼續經營;
joint venture fails to maintain operation due to any party’s breach of any provisions of operating agreements;
c.合營企業達不到經營目的，投資無法回收;
joint venture fails to achieve the business aim and redeem the capital invested;
d.不可抗力，等。
in case of force majeure，etc.
第四十九條 合營企業宣告解散時，董事會應組織清算委員會，按《中華人民共和國中外合資經營企業法實施條例》第103條至108條規定執行。

第十七章 保險

第五十二條 合營公司的各項保險均在中國人民保險公司投保，投保險別、保險價值、保期等按照中國人民保險公司的規定由合營公司董事會會議討論決定。

第十八章 合同的修改、變更與解除

第五十三條 對本合同及其附件的修改必須經甲、乙雙方簽署書面協議，并報原審批機構批準，才能生效。

第五十四條 由于不可抗力，致使合同無法履行，或是由于合營公司連年虧損、無力繼續經營，經董事會一致通過，并報原審批機構批準，可以提前終止合營期限和解除合同。
case joint venture fails to perform this contract because of force majeure or to continue to operate on account of losses for years，this contract may be cancelled or terminated in advance by the unanimous resolution of the board of directors and with the approval of the original examining and approving department.
第五十五條 由于一方不履行合同、章程規定的義務，或嚴重違反合同、章程規定，造成合營公司無法經營或無法達到合同規定的經營目的，視作違約方單方終止合同，他方除有權向違約一方索賠外，并有權按合同規定報原審批機構批準終止合同。如甲、乙雙方同意繼續經營，違約方應賠償合營公司的經濟損失。
any party hereto fails to perform the duties and obligations provided herein or in the articles of association，or materially breaches the provisions hereof or of the articles of association so as to cause the failure of joint venture to operate normally or to win the operations objectives set herein，the breaching party shall be held to terminate this contract unilaterally, the other party is entitled to，in addition to making a claim for damages to the breaching party，demand to end this contract and report to the original examining and approving department for case both parties hereto agree to maintain the business，the breaching party shall be liable for the compensation for the economic loss suffered by joint venture.
第十九章 違約責任
chapter nineteen remedies for breach of contract
第五十六條 甲、乙任何一方未按本合同第五章的規定依期按數提交完出資額時，從逾期第一個月算起，每逾期一個月，違約一方應繳付應交出資額的百分之_________的違約金給守約的一方。如逾期三個月仍未提交，除累計收取違約方應交出資額的百分之_________的違約金外，守約一方有權按本合同第五十三條規定終止合同，并要求違約方賠償損失。

第五十八條 為保證本合同及其附件的履行，甲、乙各方應相互提供履約的銀行擔保書。

第二十章 不可抗力
chapter twenty force majeure
第五十九條 由于地震、臺風、水災、火災、戰爭以及其他不能預見并且對其發生和后果不能防止或避免的不可抗力，致使直接影響合同的履行或者不能按約定的條件履行時，遇有上述不可抗力的一方，應立即電報通知對方，并應在十五天內，提供不可抗力詳情及合同不能履行，或者部分不履行，或者需要延期履行的理由的有效證明文件，此項證明文件應由不可抗力發生地區的公證機構出具。按其對履行合同影響的程度，由雙方協商決定是否解除合同，或者部分免除履行合同的責任，或者延期履行合同。
the performance hereof is hindered by or is absolutely impossible under the terms and conditions herein on account of force majeures，including earthquakes，typhoons, floods fires， war or other unexpected，irresistible or unavoidable forces in respect of their consequences or results，the party in contingency shall inform the other party of such contingency by telegram immediately，and within 15 days present valid documents signed by the notarial agency of the locale，stating the details of the incident and proving it is impossible to perform whole or part of this contract or that extension of time of performance hereof is parties shall decide， judging by the consequence to the performance hereof，whether this contract should be cancelled or the duties herein should partly be discharged or the time of performance hereof should be extended.
第二十一章 適用法律

第六十條 本合同的訂立、效力、解釋、履行和爭議的解決均受中華人民共和國法律的管轄。

第二十二章 爭議的解決

協助合營公司聯系落實水、電、交通等基礎設施;

協助合營公司招聘當地的中國籍的經營管理人員、技術人員、工人和所需的其他人員;

培訓合營公司的經營管理人員以及技術人員和工人及其他人員。

如乙方同時又是技術轉讓方，則應負責合營公司在規定的期限內按設計能力穩定地生產合格產品;
where party b is transferor of technology，he shall assure joint turn out qualified products in accordance with the designed capacity within the period herein provided;
協助合營企業工作人員及其他相關人員辦理進人外國合營者所在國家或地區的簽證;
assisting the employees of joint venture, or other relevant personnel to be granted a visa to the state or district where the foreign co-operator resides;
負責辦理合營公司委托的其他事宜。

第七章 技術轉讓
chapter seven technology transfer
第十五條 甲、乙雙方同意，由合營公司與乙方(或第三者)簽訂技術轉讓協議，以取得為達到合同第四章規定的生產經營目的、規模所需的先進生產技術，包括產品設計、制造工藝、測試方法、材料配方、質量標準、培訓人員等(注：要在合同中具體寫明)。

第十六條 乙方對技術轉讓提供如下保證：(注：在乙方負責向合營公司轉讓技術的合營合同才有此條款)
for assignment of technology，party b warrants，guarantees，covenants that：
(1)乙方保證為合營公司提供的_________(注：要寫明產品名稱)的設計、制造技術、工藝流程、測試和檢驗等全部技術是完整的、準確的、可靠的，是符合合營公司經營目的的要求的，保證能達到本合同要求的產品質量和生產能力;

(2)乙方保證本合同和技術轉讓協議規定的技術全部轉讓給合營公司，保證提供的技術是德乙方同類技術中最先進的技術，設備的選型及性能質量是優良的，并符合工藝操作和實際使用的要求;，
b shall transfer all the technology to joint venture under the terms in this contract and in the agreement of assignment of technology，the technology transferred shall be the most advanced of the same category in party b’s portfolio，the type and function of the equipment shall be good and shall meet the demand of technological process and practical usage;
(3)乙方對技術轉讓協議中規定的各階段提供的技術和技術服務，應開列詳細清單作為該協議的附件，并保證實施;
for technology and technical service provided by party b in all stages according to the agreement of assignment of technology，party b shall make out detailed lists as appendices to the agreement to guarantee the enforcement of the agreement;
(4)圖紙、技術條件和其他詳細資料是所轉讓的技術的組成部分，保證如期提交;
ms, technical conditions and other minute information are integral parts of the transfer of technology and shall be supplied duly;
(5)在技術轉讓協議有效期內，乙方對該項技術的改進，以及改進的情報和技術資料，應及時提供合營公司，不另收費用;
all time during the term of the agreement of assignment of technology，party b shall report and supply information to joint venture duly with respect to any innovation made by party b in the transferred technology，and no extra fee shall be charged hereof;
(6)乙方保證在技術轉讓協議規定的期限內使合營公司技術人員和工人掌握所轉讓的技術。
b shall ensure the technical personnel and workers in joint venture master transferred techniques within the period provided by the agreement of assignment of technology.
第十七條 如乙方未按本合同及技術轉讓協議的規定提供設備和技術，或發現有欺騙或隱瞞之行為，乙方應負責賠償合營公司的直接損失。
party b fails to provide equipment or techniques under the terms and conditions herein or in the agreement of assignment of technology or is found fraudulent，party shall be liable for the direct losses of joint venture caused hereby.
第十八條 技術轉讓費采取提成方式支付。提成率為產品出廠凈銷售額的_________%。提成支付期限以本合同第十九條規定的技術轉讓協議期限為期限。

第九章董事會
chapter nine board of directors
第二十五條 合營公司注冊登記之日，為合營公司董事會成立之日。

第三十二條 總經理、副總經理有營私舞弊或嚴重失職的，經董事會議決定可隨時撤換。

第十一章 設備購買
chapter eleven purchase of equipment
第三十三條 合營公司所需原材料、燃料、配套件、運輸工具和辦公用品等，在條件相同情況下，盡先在中國購買。
materials，fuels，subassemblies and components，transport vehicles and office apparatus needed by joint venture shall be purchased under the provision that if conditions are alike，china shall be given the priority to be the country where the purchase takes place.
第三十四條 合營公司委托乙方在國外市場選購設備時，應邀請甲方派人參加。
joint venture appoints party b by proxy to buy equipment outside china, representatives of party a shall participate in the purchase.
第十二章 籌備和建設
chapt"er twelve preparation and construction
第三十五條 合營公司在籌備、建設期間，在董事會下設立籌建處?；I建處由___人組成，其中甲方_____人，乙方______人?；I建處主任一人，由_________方推薦，副主任一人，由_________方推薦?；I建處主任、副主任由董事會任命。

第三十七條 甲乙雙方指派若干技術人員組成技術小組，在籌建處領導下，負責對設計、工程質量、設備材料和引進技術的審查、監督、檢驗、驗收和性能考核等工作。

第三十八條 籌建處工作人員的編制、報酬及費用，經甲乙雙方同意后，列人工程預算。

第三十九條 籌建處在工程建設完成并辦理完畢移交手續后，經董事會批準撤銷。
the project is completed and all the transfer formalities have been met，the preparation office shall be disbanded by the resolution of the board of directors.
第十三章 勞動管理
chapter thirteen labor management
第四十條 合營公司職工的招收、招聘、辭退、工資、勞動保險、生活福利和獎懲等事項，按照《中華人民共和國中外合資經營企業勞動管理規定》及其實施辦法，經董事會研究制定方案，由合營公司和合營公司的工會組織集體或個別的訂立勞動合同加以規定。

第四十一條 甲乙方推薦的高級管理人員的聘請和工資待遇、社會保險、福利、差旅費標準等，由董事會會議討論決定。

第十四章 稅務、財務、審計
chapter fourteen ta某ation，financial affairs and audit
第四十二條 合營公司按照中國的有關法律和條例規定繳各項稅金。
venture shall levy taxes and duties under relevant chinese laws，acts and regulations.
第四十三條 合營公司職工按照《中華人民共和國個人所得稅法》繳納個人所得稅。
employees of joint venture shall pay personal income tax under the personal income tax act of the people’s republic of china.
第四十四條 合營公司按照《中華人民共和國中外合資經營企業法》的規定從公司贏利中提取儲備基金、企業發展基金及職工福利獎勵基金，每年提取的比例由董事會根據公司經營情況討論決定。
venture may，subject to the provisions of act of sino-foreign joint ventures of the people’s republic of china，set aside out of the gains and profits of joint venture such sums used as reserves，development fund，employees’welfare or reward fund，the proportion of such sums shall be decided at the general meetings of the board of directors in accordance with the operation of joint venture.
第四十五條 合營公司的會計年度從每年一月一日起至十二月三十一日止，一切記賬憑證、單據、報表、賬簿，用中文書寫(注：也可同時用甲乙雙方同意的一種外文書寫)。
fiscal year of joint venture shall begin from january the first to december the thirty first each and all accounting papers such as receipts，slips，statements，books etc. shall be written in chinese(or in another language agreed upon by both parties).
第四十六條 合營公司的財務審計聘請在中國注冊的會計審查、稽核，并將結果報告董事會和總經理。
ial affairs of joint venture shall be examined and checked by accountants registered in china and the result of the audit shall be reported to board of directors and president of joint venture.
如乙方認為需要聘請其他國家的審計師對年度財務進行審查，甲方應予以同意。其所需要一切費用由乙方負擔。
where party b thinks it proper to employ some foreign auditors other than the chinese ones to make the annual financial examination and checking，no protest shall be made by party a and in this case party b alone shall bear all the charges in respect of the specially fixed audit.
第四十七條 每營業年度的頭三個月，由總經理組織編制上一年度的資產負債表、損益計算書和利潤分配方案，提交董事會會議審查。

合營企業的全部利潤，在繳納所得稅、提取第四十四條所列基金后，應按合營各方出資比例，由董事會確定的利潤分配方案進行分配(若以前年度的虧損未彌補，不得分配利潤;以前年度未分配的利潤可并人本年度利潤分配。另外，對分配形式應加以規定)。

第十五章 合營期限、解散與清算
chapter fifteen term，dissolution and liquidation
第四十八條 本合營企業在下述情況下解散：
venture may be dissolved in the following：
(1)合營期滿;
contract expires;
(2)合營期滿之前，出現下述任何一種情況或事件，經董事會決議，本合營企業也可解散：
to the expiration of this contract，in case any of the following situations or incidents occurs and upon the general resolution of the board of directors，joint venture may be dissolved:
a.合營企業遭受重大損失，無法繼續經營;
joint venture fails to maintain operation due to heavy losses;
b.任何一方違反合伙協議規定，使本企業無法繼續經營;
joint venture fails to maintain operation due to any party’s breach of any provisions of operating agreements;
c.合營企業達不到經營目的，投資無法回收;
joint venture fails to achieve the business aim and redeem the capital invested;
d.不可抗力，等。
in case of force majeure，etc.
第四十九條 合營企業宣告解散時，董事會應組織清算委員會，按《中華人民共和國中外合資經營企業法實施條例》第103條至108條規定執行。
joint venture is dissolved，a liquidation committee shall be established by the board of directors under article 103 to article 108 of the enforcement regulations of act of the sino-foreign joint venture of the people’s republic of china.
第五十條 合營公司的期限為_________年。合營公司的成立日期為合營公司營業執照簽發之日。

第十六章 合營期滿財產處理

第五十一條 合營期滿或提前終止合營，合營公司應依法進行清算，清算后的財產，根據甲、乙各方投資比例進行分配。
case of expiration or cancellation in advance，joint venture shall be liquidated under the relevant laws and the property liquidated shall be distributed by and between party a and party b upon their shares invested in joint venture respectively.
第十七章 保險
chapter seventeen insurance
第五十二條 合營公司的各項保險均在中國人民保險公司投保，投保險別、保險價值、保期等按照中國人民保險公司的規定由合營公司董事會會議討論決定。

第十八章 合同的修改、變更與解除

第五十三條 對本合同及其附件的修改必須經甲、乙雙方簽署書面協議，并報原審批機構批準，才能生效。
modification of this contract or the appendices hereto shall be effective unless it is agreed by party a and party b in writing and reported to and ratified by the original examining and approving department.
第五十四條 由于不可抗力，致使合同無法履行，或是由于合營公司連年虧損、無力繼續經營，經董事會一致通過，并報原審批機構批準，可以提前終止合營期限和解除合同。
case joint venture fails to perform this contract because of force majeure or to continue to operate on account of losses for years，this contract may be cancelled or terminated in advance by the unanimous resolution of the board of directors and with the approval of the original examining and approving department.
第五十五條 由于一方不履行合同、章程規定的義務，或嚴重違反合同、章程規定，造成合營公司無法經營或無法達到合同規定的經營目的，視作違約方單方終止合同，他方除有權向違約一方索賠外，并有權按合同規定報原審批機構批準終止合同。如甲、乙雙方同意繼續經營，違約方應賠償合營公司的經濟損失。
any party hereto fails to perform the duties and obligations provided herein or in the articles of association，or materially breaches the provisions hereof or of the articles of association so as to cause the failure of joint venture to operate normally or to win the operations objectives set herein，the breaching party shall be held to terminate this contract unilaterally, the other party is entitled to，in addition to making a claim for damages to the breaching party，demand to end this contract and report to the original examining and approving department for case both parties hereto agree to maintain the business，the breaching party shall be liable for the compensation for the economic loss suffered by joint venture.
第十九章 違約責任
chapter nineteen remedies for breach of contract
第五十六條 甲、乙任何一方未按本合同第五章的規定依期按數提交完出資額時，從逾期第一個月算起，每逾期一個月，違約一方應繳付應交出資額的百分之_________的違約金給守約的一方。如逾期三個月仍未提交，除累計收取違約方應交出資額的百分之_________的違約金外，守約一方有權按本合同第五十三條規定終止合同，并要求違約方賠償損失。

第五十七條 由于一方違約，造成本合同及其附件不能履行或不能完全履行時，由違約一方承擔違約責任;如屬雙方違約，根據實際情況，由雙方分別承擔各自應負的違約責任。
this contract or any part of this contract or any appendix thereto cannot be performed on account of any party’s default，the breaching party shall bear the responsibility：in case of both parties’default，each party shall take its responsibility respectively in accordance with specific situations.
第五十八條 為保證本合同及其附件的履行，甲、乙各方應相互提供履約的銀行擔保書。

第二十章 不可抗力
chapter twenty force majeure
第五十九條 由于地震、臺風、水災、火災、戰爭以及其他不能預見并且對其發生和后果不能防止或避免的不可抗力，致使直接影響合同的履行或者不能按約定的條件履行時，遇有上述不可抗力的一方，應立即電報通知對方，并應在十五天內，提供不可抗力詳情及合同不能履行，或者部分不履行，或者需要延期履行的理由的有效證明文件，此項證明文件應由不可抗力發生地區的公證機構出具。按其對履行合同影響的程度，由雙方協商決定是否解除合同，或者部分免除履行合同的責任，或者延期履行合同。
the performance hereof is hindered by or is absolutely impossible under the terms and conditions herein on account of force majeures，including earthquakes，typhoons, floods fires， war or other unexpected，irresistible or unavoidable forces in respect of their consequences or results，the party in contingency shall inform the other party of such contingency by telegram immediately，and within 15 days present valid documents signed by the notarial agency of the locale，stating the details of the incident and proving it is impossible to perform whole or part of this contract or that extension of time of performance hereof is parties shall decide， judging by the consequence to the performance hereof，whether this contract should be cancelled or the duties herein should partly be discharged or the time of performance hereof should be extended.
第二十一章 適用法律
chapter twenty-one law of contract
第六十條 本合同的訂立、效力、解釋、履行和爭議的解決均受中華人民共和國法律的管轄。

第二十二章 爭議的解決

第六十一條 凡因本合同引起的或與本合同有關的任何爭議，均應提交中國國際經濟貿易仲裁委員會，按照申請仲裁時該會現行有效的仲裁規則進行仲裁。仲裁裁決是終局的，對雙方均有約束力。
